kathleen marshall managing director
Ms. Marshall has financed, developed and managed large scale and start-up
power, financial, consumer, information and service businesses for over 25 years. Prior to Green Solar
Finance, Ms. Marshall developed and acted as CEO for several financial and power based companies including TritanStar, EnergyAxis
and Sequas Corporation. Ms. Marshall began her career at The Chase Manhattan Bank where she developed
and managed the Securitization, Structured Finance and Corporate Finance Advisory Groups. In this capacity,
Ms. Marshall served the largest clients of the bank including such clients as Sara Lee, Pepsico, Scott Paper, Unilever, W.R.Grace,
RJR Nabisco, and GATX and successfully structured and closed over $5 billion in tax, lease, project and joint venture
based transactions. Ms. Marshall received her Bachelor of Science degree from Cornell University
and an MBA from New York University's Stern School of Business. Ms. Marshall is married for 24 years
and is mother to twin teenage daughters.

david mcgann managing director
Mr. McGann brings over 24 years of finance experience as an investment banker
and commercial real estate financial advisor. Throughout his career, Mr. McGann has managed more than 200
advisory assignments and closed approximately 300 transactions representing over $7.7 billion in total financings. He
has assisted public, private and non-profit organizations in structuring and financing mergers, acquisitions, sales, divestitures,
capital raising, joint ventures, restructurings, spin-offs and leverage buyouts. Mr. McGann has worked
with companies across a broad range of industries with depth in the renewable energy, real estate and healthcare sectors. Prior to his commitment to the solar project finance sector, Mr. McGann worked in investment banking at PaineWebber
Incorporated, Prudential Securities, Smith Barney and Dean Witter. Mr. McGann received his Bachelor of Arts degree from
Amherst College and completed a year abroad at Wadham College, Oxford University. Mr. McGann has been married
for 23 years and is the proud father of twin boys.

alan hershowitz director | chief information officer Mr. Hershowitz is responsible
for the financial and operational modeling and research for all energy strategies and projects for Green Solar Finance. Mr. Hershowitz has 23 years experience as a business analyst, technologist,
financial management developer, project manager, and strategist in the finance, power, entertainment and working capital management industries. Prior to joining Green Solar Finance, he acted as CIO for
several companies with Ms. Marshall including TritanStar, Stryden Energy, EnergyAxis, Sequas Corporation, and Digeserv. Mr.
Hershowitz started his career at JPMorgan Chase where he provided data, liquidity and financial management, supply chain
finance, business planning, modeling, operational improvement and other information technology services. Mr. Hershowitz
lives in Tuscon, Arizona with his wife.

kenneth gibson director | chief risk & research officer Mr. Gibson
is responsible for risk assessment and risk control strategies. Mr. Gibson began his business career at Bank of America in
San Francisco with responsibilities in corporate banking, first in the Electronics Section, then in the Transportation and
Utilities Section. During much of his 25 years at GATX Capital Corporation, Mr. Gibson was responsible for banking relationships
(including cash management, lines of credit, commercial paper issuance and public debt), customer credit analysis and ongoing
review, assessment of reserves for possible losses and contracts administration as well as risk management through insurance
programs. During the time Mr. Gibson worked at GATX Capital, the company grew to manage its own and partnership lease portfolios
aggregating in excess of $5.0 billion in book value. Direct involvement in the risk analysis and risk minimization of investments
in geothermal and wind turbine power generation assets in the 1980s evolved into an abiding interest in green power solutions.
Mr. Gibson has BA from the University of New Mexico and an MBA from Indiana University. He and his wife live in Oakland, California.

bruce belliveau director | business development Mr. Belliveau has over 23 years of experience advising companies, as an investment banker or in a senior operating
and financial executive capacity, on all aspects of strategic positioning and capital raising initiatives. Most recently,
Mr. Belliveau was a Managing Director with Chrysalis Energy Partners, LLC, a strategic consulting firm offering services in
the areas of renewable energy and energy efficiency markets. A native of Western Massachusetts, Mr. Belliveau began his career
as a manufacturing engineer with Dow Chemical in Midland, MI before moving on to Wall Street where, as a senior investment
banking professional he advised U.S., Europe, Middle East and Asia-based companies on all aspects of equity and debt financings,
strategic positioning, and merger and acquisition analysis. As an investment banker, Mr. Belliveau completed 48 public equity
offerings, 14 debt financings and 15 financial advisory assignments encompassing over 100 engaged client assignments. Following
Wall Street he joined a former client, a leading international provider of shareholder response services, financial communications
and business process outsourcing services, as an Executive Vice President and its Global Chief Financial Officer. While with
this company he was instrumental in growing the company from approximately $40 million to over $200 million in revenue and
extended operations to over 10 countries. More recently, Mr. Belliveau was the Chief Financial Officer of an international
media company based in the Washington, DC metro area. Mr. Belliveau has a Masters in International
Public Policy with a concentration in Energy, Resources and the Environment from the School of Advanced International Studies
(SAIS) at Johns Hopkins University, an MBA in Finance from Wharton and a BS degree in Chemical Engineering from the University
of Massachusetts at Amherst. He has completed executive programs at Stanford and London Business School, among others, and
is a Chartered Financial Analyst (CFA), Certified Management Accountant (CMA), Certified Internal Auditor (CIA), Certified
in Financial Management (CFM) and a Certified Treasury Professional (CTP). Mr. Belliveau resides in Washington DC with his
daughter Taylor.

todd fyratt business development Mr. Fryatt recently help launch a solar energy merchant bank catering to the debt financing needs
of the commercial solar energy market, including venture loan products designed for SRECs. Prior to this Mr.
Fryatt co-founded Estramina Capital, LLC, an investment vehicle in Greenwich, Connecticut
that was formed to invest in distressed real estate and property tax liens. Before working in specialty finance, Mr. Fryatt
practiced corporate law at Cohen & Gresser, LLP, where he worked on private equity/venture capital transactions, entity
formation, credit agreements and corporate governance matters. Mr. Fryatt has counseled numerous privately held companies
in industries such as technology (software and services), investment management, airlines and higher education. Mr. Fryatt
is a cum laude graduate of the University of Michigan Law School and holds a B.A. from Middlebury College.

eric miller director | chief marketing officer Mr. Miller oversees all communications and marketing efforts for Green Solar Finance. Mr. Miller
offers over 21 years experience in corporate communications, public relations and investor relations in the financial and
legal services sector. In addition to his responsibilities at Green Solar Finance, Mr. Miller is Senior Vice President,
Corporate Communications in the Los Angeles Office of Financial Dynamics, a global business and financial communications consultancy.
Prior to his work with Financial Dynamics, Mr. Miller headed the Professional and Financial Services Practice at Weber Shandwick.
He was also Senior Director of Communications for Pillsbury Wintrop Shaw Pittman LLP, manager of all global media
relations efforts for the law firm. Mr. Miller began his career at the investor relations firm Financial Relations Board
which was acquired by Bozell Sawyer Miller group. Mr. Miller has provided national exposure for financial clients including
Northern Trust, LPL Financial, HSBC, J.P. Morgan/Chase, Credit Suisse First Boston, UBS, Venrock Associates, Far East National
Bank, EastWest Bank, Hanmi Bank, Cathay Bank and Banco Azteca. His professional services clients have included
Manett, Phelps & Phillips, Piper Rudnick, Mayer Brown, Microsoft and Allstate. Mr. Miller attended U.S.C., the University
of London and earned a Bachelor of Arts degree in English literature from St. Lawrence University. He sits on the
board of the Japan America Society as well as boards of several industry associations. Mr. Miller has been married for 20
years and is the proud father of two daughters.

joy green director | chief administrative officer Ms. Green is responsible for industry research in the renewable energy sector for Green Solar Finance.
Ms. Green shares over 23 years of business management experience in the services sector. In addition, Ms. Green freelances
as a successful Spanish to English translator and copy editor, and privately sells Spanish antiquities. Prior to
joining Green Solar Finance, Ms. Green freelanced as a copy editor for Doubleday, acted as COO of Acme
Films, an independent film production company, COO of Morcon Enterprises, an agency placing independent contractors
in computer programming for IBM, and Founder and COO of Metroproof, Inc., a translator, editor, copy editor and proofreader
agency serving clients including the United Nations, Budweiser, and Doctors without Borders. Prior to her COO positions,
Ms. Green was Director of Human Resources at Metropolitan Proofreaders, Inc., the largest legal proofreading agency in
New York City. Ms. Green received her Bachelor of Arts degree from Amherst College, including a year at the University
of Pennsylvania as a visiting student, and completed Masters course work in Spanish Peninsular Literature and Translation
Studies at New York University. She is fluent in Spanish. Ms. Green is married with two children.

kevin johnson advisor
Mr. Johnson provides
power industry business, development, engineering and operational expertise to Green Solar Finance. Mr. Johnson
has over 28 years of executive experience developing, operating and managing power fleets, profitability and operations.
Mr. Johnson has acted as COO, operations manager and business development manager for large power companies, investment funds
and privately held entities. Mr. Johnson has managed power entities across nuclear, coal, natural gas, and hydro in
North America, Europe, Africa and Asia.
Mr. Johnson is recognized as a leader
in complex distressed, restart, rebuild and development situations where achievement of steady state operations and profitability
requires intensive, hands-on building across business planning, contract negotiation, business development, engineering and
operations. Mr. Johnson received a Bachelor of Science Degree in Chemical Engineering from the Towne School of Engineering
at the University of Pennsylvania. He is a member of the Project Management Institute, the American Nuclear Society,
and has been active with EEI. Mr. Johnson has co-authored and presented a number of papers on various aspects of business
operations and performance improvement in the Energy industry. He resides in Media, PA with his wife and two sons.

Mr. May is a world-recognized leader in the silicon industry.
Based in Shanghai with more than 16 years experience conducting business in China, he is uniquely positioned to offer
insight and access to the Chinese market. Mr. May is a metallurgical and materials engineer with over 30 years experience
in the polysilicon, metallurgical silicon and ferroalloys industry. He was among the first developers of solar silicon technology
and worked in silicon research, manufacturing and procurement at Dow Corning for over 20 years. Currently, Mr. May is Chairman and CEO of May Global Business Group as well as a principal of Lumen Solar LLC, a GSF
strategic partner. He is also a “Top 2%” consultant at Gerson-Lehman Group.

Mr. Storke has extensive business development experience in the power industry as the Managing
Partner of KAS Consulting Group. He is responsible for one of the largest solar photovoltaic project finance joint ventures representing $1.5 billion
and 120 megawatts of solar projects commissioned worldwide in 2011. Prior to founding KAS Consulting Group, Mr. Storke’s 24 years of business development
experience includes Global Offering Manager at IBM and Regional Manager of Business Development at RSM McGladrey. Prior to
his business development career, Mr. Storke served 6 years in the U.S. military with the 101st Airborne Division as a supervisor
of aircraft electricians in the United States Army. He received multiple Army Achievement Medals. Mr. Storke is a graduate
of Trinity Evangelical University in Deerfield, Illinois with a BA in communications. He lives in Austin, Texas with his wife
and two daughters.

Mr. Levin brings extensive
renewable energy industry relationships, experience and financial expertise to Green Solar Finance. He is a finance
professional with a broad ranging background in banking, project finance, tax equity and financing of renewable power projects. He
created many large solar finance programs for both commercial and residential solar development. Mr. Levin also delivered
project finance investment to landfill gas, wind development, waste-to-energy and geothermal projects. In addition,
he secured private equity growth capital for renewable project developers and renewable technology firms at critical stages
in solar, wind, landfill gas and waste-to-energy sectors. Mr. Levin received his J.D. from New York University
School of Law and his B.S., summa cum laude, from Babson College. Mr. Levin resides in Connecticut with his wife and
children.

Ms. Hirase has extensive experience in Japanese American cross-cultural protocol as a business consultant
and certified translator. Prior to her consulting services, Ms. Hirase was with Mitsubishi Bank and successor
Bank of Tokyo Mitsubushi, parent company of Union Bank of California, for nearly 25 years, where she served as the
executive assistant to the chairman, primarily in charge of protocol matters. Ms. Hirase is cofounder and
President of HOME STAY PROJECT, a Japanese company providing opportunity for Japanese young people to experience the American
way of life. Ms. Hirase is on the Board of Directors of the Japan American Society and Nichi Bei Fujin
Kai and a member of the Japanese American National Museum. A native of Tokyo, Japan, Ms. Hirase is a graduate
of the prestigious Gakushuin University, otherwise known as the Peers’ School. Ms. Hirase resides
in Los Angeles with her husband.
